End-User License Agreement

This End-User License Agreement ("Agreement") governs your use of Emlyzer (the "Application"). The licensor is solveEM e.U., owned by Ing. DI(FH) Manfred Ehrengruber, MA, Holzhäuser 8, 4702 Wallern, Austria ("we", "us"). "You" means the individual using the Application or the entity purchasing licenses for its designated users.
Please read this Agreement before accepting it or installing or using the Application. The Application is licensed, not sold. Anyone accepting this Agreement for an organisation must have authority to do so. Minors may enter into this Agreement to the extent permitted by applicable law, with consent or representation of a parent or legal guardian where required.
License Model
Free Personal and Educational Use
You may use the Application free of charge for an unlimited period for private, non-commercial purposes, including non-commercial learning and education. This permission does not cover use in a business, paid services or other commercial or revenue-generating activities, except during the commercial evaluation below.
14-Day Commercial Evaluation
You may evaluate the Application for commercial purposes for fourteen (14) consecutive days starting with your first installation. Reinstallation or a change of device does not restart this period. Afterwards, commercial use requires a purchased license. Eligible free personal and educational use may continue without purchase. The trial does not automatically create a purchase or subscription.
Purchased Perpetual License
A purchased single-user license grants one designated individual a non-exclusive right to use the licensed Application for private and commercial purposes without a fixed expiry date. No recurring license payment is required. Expiry of the included support period does not end this right.
The license includes the version supplied at purchase and updates we make available to you under that license. It does not automatically include separately sold future major versions or additional products. Necessary updates and additional rights promised at purchase remain subject to the Updates section below. A perpetual license is subject to the specific termination grounds in this Agreement; it cannot be withdrawn merely at our discretion.
Two Devices per Person
Each individual user may install and use the Application on up to two devices, for example a desktop and a laptop. Both installations must be used by that same individual. A single-user license cannot be shared by multiple people. These device limits also apply to free use and commercial evaluation. An organisation must obtain sufficient licenses for its commercial users; a separately agreed volume license may cover multiple designated users.
Changing Devices
You may replace either device without purchasing another license. Stop using and uninstall the Application on the replaced device before using the replacement, so that no more than two devices remain in use. If the old device is lost, defective or inaccessible, stop using that installation and contact us if activation assistance is needed. Replacement does not restart the trial or support period.
Extended Support
A purchased license includes one year of extended support from the purchase date. This covers assistance with installation, activation, use of the Application and investigation of reported technical problems through our support channels. Unless separately agreed, it does not include guaranteed response times, custom development, engineering consultancy or a guarantee that every issue will be resolved.
After that year, the perpetual license continues. Further voluntary support is subject to the arrangements then offered. Statutory remedies, necessary updates and obligations arising from a defect are not limited to the one-year support period.
Updates
We provide updates, including security updates, necessary to keep the Application in conformity with the contract for the period required by applicable law, and inform you of availability and relevant installation requirements. Expiry of extended support does not itself end these obligations.
Feature enhancements, additional functionality and separately sold major upgrades are optional unless included in the purchase offer or separately agreed. We will not use an update to remove agreed functionality or impair acquired rights contrary to applicable law. Changes to continuing digital services must meet applicable legal requirements, including notice and termination rights where required.
Please install necessary updates within a reasonable time after notification. Any effect of not installing an update on statutory remedies is determined by applicable law, including requirements concerning adequate notice and installation instructions.
Restrictions and Third-Party Rights
You must not share license keys, sublicense, rent out or distribute the Application to third parties, bypass license controls or remove proprietary notices. Modification, decompilation and reverse engineering are prohibited except where permitted by mandatory law. Commercial use under a purchased license is expressly permitted.
Our original software and materials remain our intellectual property. Third-party components remain the property of their owners and are governed by their own licenses. Nothing here restricts rights under those licenses or mandatory rights concerning interoperability, permitted analysis or software transfer. See the third-party credits and license notices.
Your own input data, models and results remain yours. Feedback voluntarily provided may be used to improve the Application without an obligation to implement it or pay compensation; ownership of your existing intellectual property is not transferred.
Sentry and Personal Data
The Application uses Sentry for error logging and performance monitoring. Sentry collects technical information to help us diagnose crashes, errors and performance issues, including:
- Application crash logs;
- Device details, such as operating system and hardware specifications;
- Error messages and other diagnostic information.
This data is collected automatically for diagnosing technical issues. As described in our Privacy Policy, it does not include the content of your communications or account credentials, but may include technical identifiers such as your IP address and device information that constitute personal data (also called personally identifiable information or PII), unless configured to be masked or excluded. Diagnostic data must therefore not be assumed to be anonymous.
Our Privacy Policy explains the processing, purposes, applicable legal bases and your rights. Accepting this Agreement or using the Application does not by itself constitute consent to processing that requires separate consent. Where required, consent must be obtained separately and can be withdrawn as described in the Privacy Policy.
Paddle Purchases and Refunds
Paddle is our authorised reseller and Merchant of Record. Your purchase transaction is with the Paddle entity identified at checkout and on your receipt. Paddle handles payments, applicable transaction taxes, invoicing and payment-related refunds. The software license is granted directly by solveEM e.U. under this Agreement; we deliver the license and provide product support.
The Paddle Buyer Terms and Paddle Refund Policy govern your transaction with Paddle. We additionally provide a full, no-reason-required refund for requests made within fourteen (14) days of purchase, including where the Application has been downloaded, activated or used. This contractual guarantee supplements statutory rights. See the procedure in our Terms and Conditions.
Once a full refund is completed, the corresponding paid license and included extended support end. Stop using that paid license. Eligible free use may continue under the conditions above.
Technical Results
Calculations and outputs depend on input data, model assumptions, selected methods and settings. Check units, inputs, assumptions and the plausibility of results before technical use. Use independent calculations, measurements or qualified review where appropriate. Outputs alone do not certify regulatory compliance or design safety. This does not remove our contractual obligations or your statutory rights. See our Disclaimer.
Warranty and Liability
Mandatory statutory rights concerning conformity, warranty, necessary updates, repair, replacement, price reduction, termination and refunds remain unaffected. We give no additional voluntary warranty that Emlyzer is error-free, uninterrupted or suitable for a particular purpose beyond the agreed product specifications and express commitments made at purchase.
We exclude liability for damage caused by slight negligence, except for personal injury and the other exceptions below. This includes loss of profit, loss of data, business interruption and indirect or consequential loss only where that exclusion is legally permitted. It does not excuse performance of our contractual obligations.
Nothing in this document excludes or limits liability for death or personal injury; intent or gross negligence by us or persons for whom we are responsible; fraud; mandatory product liability; claims under mandatory data protection law; or any other liability that cannot lawfully be excluded or limited. Mandatory consumer rights remain unaffected. Where applicable law prohibits an exclusion, statutory rules apply. No fixed monetary liability cap applies.
Duration and Termination
You may stop using the Application at any time. We may terminate a license for a material breach if you do not remedy it within a reasonable period after written notice. Immediate termination is reserved for a serious breach that cannot reasonably be remedied or where required or permitted by mandatory law. Expiry of support or discontinuation of future development is not, by itself, a ground to terminate a perpetual license.
On valid termination, stop the use covered by the terminated license. Accrued rights, statutory remedies and third-party license rights remain unaffected. Refunds have the effect described above.
Applicable Terms and Law
This Agreement governs software use and takes precedence over our general Terms and Conditions on that subject. Those Terms govern our website and the additional 14-day money-back guarantee. Neither document replaces Paddle's agreement with you or reduces mandatory rights.
Austrian law applies. Consumers retain mandatory protections afforded by the law of their habitual residence. Statutory jurisdiction rules remain unaffected.
Changes do not retrospectively reduce an existing perpetual license or acquired rights. Material changes to an existing agreement require a valid contractual or statutory basis and any consent required by law; continued use alone is not consent to such changes.
