Terms and Conditions

These Terms govern the Emlyzer website and our commitments relating to Emlyzer licenses. The website operator and software licensor is solveEM e.U., owned by Ing. DI(FH) Manfred Ehrengruber, MA, Holzhäuser 8, 4702 Wallern, Austria ("we", "us"). "You" means the website user or license purchaser, as applicable.

Contractual Roles

Paddle is our authorised reseller and Merchant of Record for Paddle checkout purchases. Your purchase transaction is with the Paddle entity identified at checkout and on your receipt. Paddle handles payment collection, applicable transaction taxes, invoicing, payment-related enquiries, refunds and chargebacks. Paddle is more than a payment processor acting on our behalf.

solveEM e.U. develops Emlyzer, grants the software license directly to you, delivers the license and provides product support. Software use is governed by our End-User License Agreement (EULA). Your transaction with Paddle is governed by the Paddle Buyer Terms and Paddle Refund Policy presented for your purchase.

The EULA takes precedence for software licensing and use. These Terms provide our additional 14-day money-back guarantee. They do not replace your agreement with Paddle or reduce statutory rights or more favourable rights applicable to your purchase.

Eligibility to Purchase

Anyone who may lawfully enter into the transaction under applicable law may purchase. solveEM imposes no additional age restriction. Minors and others with limited legal capacity must obtain consent or representation of a parent, guardian or other authorised representative where required. Anyone purchasing for an organisation must have authority to bind it. Paddle's applicable checkout, payment-method and legal eligibility requirements also apply.

License, Delivery and Support

A purchased single-user license is perpetual and includes one year of extended support from purchase. It covers private and commercial use by one designated individual on up to two devices. The license continues after support expires. The EULA explains device replacement, necessary updates, optional upgrades, support scope and valid termination grounds. Separately agreed volume licenses may cover multiple designated users.

Personal, non-commercial use, including non-commercial education, is free without a time limit. Commercial evaluation is permitted for fourteen (14) days from first installation and does not automatically become a paid subscription.

Following payment confirmation, we deliver the license electronically through the purchase completion process and the contact details supplied with the order. Contact us if delivery or activation fails; statutory rights and Paddle's remedies for non-delivery remain unaffected.

Prices and Payment

Checkout shows the total payable, currency, applicable taxes and available payment methods before purchase confirmation. A perpetual license is a one-time purchase, not an automatically renewing subscription. Future price changes do not increase an already agreed purchase price.

14-Day Money-Back Guarantee

For Emlyzer license purchases through Paddle, solveEM e.U. provides a full refund of the amount paid for the license, including applicable transaction taxes, if you request it within fourteen (14) calendar days from the date of purchase. No reason is required. This applies to consumers and business purchasers, even if the Application has been downloaded, activated or used. We impose no usage-based conditions, deductions or processing fees on this guarantee.

Send your request to contact@solveEM.at, use the support link in your Paddle receipt, or request a refund through Paddle buyer support. Include your order or transaction reference and purchase email address to identify the transaction. A request made to either us or Paddle within fourteen days is timely; processing may take place later. If you cannot locate the reference, contact us for help identifying the purchase.

We will honour every request within this guarantee and arrange the full refund through Paddle. Paddle returns the payment to the original payment method where possible, subject to its processing procedures. If additional review or a processing problem occurs, contact us and we will work with Paddle to fulfil our guarantee. Paddle's processing or approval procedures do not make our guarantee discretionary.

Once a full refund is completed, the corresponding paid license and extended support end. Stop using that paid license. Eligible free personal and educational use remains available under the EULA.

This contractual guarantee supplements statutory withdrawal, warranty and other remedies, which may apply independently of or beyond fourteen days. It is not lost by agreeing to immediate digital delivery. Paddle's statutory withdrawal procedure remains available where applicable. Website Use and Intellectual Property

Use the website lawfully and do not interfere with its security or operation. Our original content and branding belong to us; third-party materials belong to their owners. The credits and license notices identify third-party components and their terms. These Terms do not restrict rights granted by those licenses.

We do not control external websites or guarantee their content. Responsibility imposed on us by applicable law remains unaffected.

Privacy

Our Privacy Policy explains processing of personal data, including Paddle, Sentry and support providers where applicable. Reading or accepting these Terms is not consent to processing that requires separate consent.

Technical Results

Emlyzer outputs depend on input data, model assumptions, methods and settings. Check plausibility before technical use, with independent verification where appropriate. Outputs alone do not certify regulatory compliance or design safety. See the Disclaimer. This does not remove agreed product obligations or statutory remedies.

Warranty and Liability

Mandatory statutory rights concerning conformity, warranty, necessary updates, repair, replacement, price reduction, termination and refunds remain unaffected. We give no additional voluntary warranty that Emlyzer is error-free, uninterrupted or suitable for a particular purpose beyond the agreed product specifications and express commitments made at purchase.

We exclude liability for damage caused by slight negligence, except for personal injury and the other exceptions below. This includes loss of profit, loss of data, business interruption and indirect or consequential loss only where that exclusion is legally permitted. It does not excuse performance of our contractual obligations.

Nothing in this document excludes or limits liability for death or personal injury; intent or gross negligence by us or persons for whom we are responsible; fraud; mandatory product liability; claims under mandatory data protection law; or any other liability that cannot lawfully be excluded or limited. Mandatory consumer rights remain unaffected. Where applicable law prohibits an exclusion, statutory rules apply. No fixed monetary liability cap applies.

The same provisions apply under our EULA and Disclaimer. They govern our responsibility and do not alter Paddle's own obligations.

Changes and Applicable Law

We may update website information and these Terms for future use and purchases. Updates do not retrospectively remove rights under existing purchases, licenses or refund guarantees. Changes to existing contracts require a valid legal basis and any consent required by law. Continued use alone is not acceptance of reduced acquired rights.

Austrian law applies to your agreement with solveEM. Consumers retain mandatory protections of the law of their habitual residence. Statutory jurisdiction rules remain unaffected. This does not change the law applicable to your separate agreement with Paddle.
